Corporate and private client services

MJ Hudson provides a comprehensive range of professional corporate and private client services, including fiduciary, administration, accounting, director and substance solutions.

Our Corporate & Private Client Services team is dedicated to providing high levels of client satisfaction and are nimble and highly responsive. We strive to work with and assist our clients and each member of the team takes the time to fully understand our clients’ business and ensure the right solution is provided. Our clients trust us to take over the administrative burden leaving them free to focus on what matters most to them.

The team specialise in assisting a wide range of clients from Family Office and High Net Worth private clients to Corporate clients start-ups and other small and medium sized businesses, particularly those investing in alternative asset classes. Whilst our Fund admin team can help on regulated funds, there are a number of start ups who do not want the cost or regulatory burden of these until a proven track record is obtained. In this regards our team can also assist with the establishment and administration of Protected Cell Companies (PCC).

I trust Mark's integrity and acumen implicitly. He takes true ownership of his role for clients and works collaboratively with ‎them and their advisers to achieve their objectives.

What we do

Company administration

Engage us to establish and administer companies, partnerships and trusts in Guernsey, Jersey and other jurisdictions and provide accounting and administration services, as well as directors, secretarial services and registered and administrative offices.

Companies are formed for a number of reasons. We can form and administer companies in various tax-neutral jurisdictions.

A corporate vehicle in a tax neutral jurisdiction is a key component of many transactions. We provide efficient administration of a wide range of such vehicles. Based in Guernsey with a culture of confidentiality not secrecy we listen to our clients’ needs and identify the information needed to form entities, operate bank accounts and ensure that offshore management and control is properly exercised.

A fairly priced and complete service with the client at the heart of all we do. We are a trusted partner and aide to our clients ensuring their needs and goals are met.

Company secretarial

Ensuring companies can maintain their statutory obligations through our comprehensive outsourced company secretarial service.

Corporate governance is a very important aspect of any business. But as businesses grow and the demands on the leadership of a company shifts, it can become increasingly difficult to maintain governance by ensuring that the Companies House notification requirements and the stipulations in a company’s governing articles are being met. Yet, falling short of the obligations highlighted by the Company’s Act can lead to serious consequences for companies, such as large fines, possible criminal proceedings or companies being struck off and assets frozen.

MJ Hudson’s Corporate Company Secretarial (Co-Sec) Services can assist private England and Wales, and Scotland-based companies by alleviating the compliance burden that may come with the Companies House reporting obligations, setting up a company or having an operational registered postal address in the UK. Our services can be tailored to suit the company’s demands, allowing you to focus on driving the business to reach its goals. This may include:

  • company formation
  • maintenance of the company’s statutory registers
  • updating and filing the records held by Companies House (including Confirmation Statement filings)
  • organising the company’s board meetings and producing minutes for event changes
  • completing share allotments, transfers and disposals on behalf of shareholders
  • appointment of directors (depending on jurisdiction)
  • registered office in England or Scotland and mail forwarding
  • acting as a process agent in the UK

Our professional and efficient team can help tackle the challenges that these administrative duties pose to your company, allowing peace of mind that the company’s secretarial duties are being taken care of.

Director and substance solutions

Find both Executive and Non-Executive Directors (NEDs) in multiple jurisdictions.

The composition of a fund board is a critical component of a successful fund structure. This can be in order to fulfill regulatory or substance obligations, as well as source qualified independent management personnel who can add significant value to your investment proposition.

MJ Hudson can provide appropriate independent and qualified directors for both onshore and offshore jurisdictions. Our appointments can add to our clients’ existing infrastructure, bringing an additional layer of rigorous corporate governance. When taking a role on a fund board, we work closely with our legal colleagues and the fund’s promoter from the outset. Acting independently from the fund’s administrator, we are able to provide comfort to investors on the proper oversight of the fund.

Such appointments can add considerable value by providing introductions to influential individuals and institutions.

Establishment and administration of trusts, foundations and companies

Facilitate efficient succession planning and asset protection via a professional team administering trusts and other structures.

In an uncertain world, properly structured trusts, Private Trust Companies, Family Investment Companies and foundations allow for international succession planning and asset protection in a reliable and often tax-efficient or certainly a tax neutral manner. To achieve this you need to work with a partner you can trust and rely upon.

We take time to understand our clients’ needs and goals to ensure that any structure that is established is the right fit. We have experience and expertise administering and establishing a wide variety of structures and, with the wider resources of the MJ Hudson group available to us, we can work with you, your other trusted advisers and our worldwide professional contacts to deliver an appropriate solution.

With the right structure, administered by the right people, you can relax, safe in the knowledge that your family’s future is secure.

Establishment and management of pension and incentive schemes

Utilise our administrative services, which cover occupational and international pension plans, including qualifying non-UK pensions schemes (QNUPS), and other structures.

An employee corporate share scheme can provide a valuable means to reward and incentivise staff. For individuals, an international pension can provide a tax efficient vehicle especially for those with surplus disposable income.

We work in tandem with our clients’ existing advisers to plan, establish and administer the structure that best suits their needs and continue to do so throughout the life of the plan.

The result is a well structured, efficient vehicle that meets the clients’ needs both now and in the future.

Family office administration

Coordinate cross-border interests including family businesses, investments, properties and other assets through our offshore hub.

Entrepreneurs often see the big picture before others, but managing the diverse interests of wealthy individuals and families can be complex and time-consuming. We can ensure that your affairs are efficiently structured and that all operational details are taken care of.

MJ Hudson offers a wide range of fiduciary services to help with the management of cross-border and offshore interests.

Once we have understood your goals and shared our own experience, we will design a mix of services and a mode of delivery that works best for you. Typically, this might include the establishment of tax-efficient structures and the provision of offshore “mind and management” (including inter-generational family governance, where required), as well as insurance provision and holistic reporting, providing a single view across family businesses, investable assets, private funds and other interests.

In addition, our MJ Hudson Group Investment Advisory experts can provide institutional quality manager selection and monitoring services, including performance attribution, risk analysis, and auditing and negotiating fees. As well as integrating our delivery with other services provided by MJ Hudson, we are experienced at working closely with other trusted advisers, including onshore private offices and family offices, lawyers, and accountants.

Our clients benefit from an improved ability to focus on what matters most to them, while we take over the administrative burden.

Tax advice and structuring

Most investors are, directly or indirectly, accountable to individuals.

The MJ Hudson Tax team can contextualise your group’s role in returning value to those individuals, or we can bring our expertise straight to family offices and HNWI clients. We advise on a range of personal and investment tax issues including UK tax residency, non-domiciliary (remittance basis) taxation, UK and offshore investments, board composition and residence, offshore trust structures, and compliance issues associated with the Common Reporting Standard and the US Foreign Account Tax Compliance Act.

We also advise not-for-profit organisations and charitable companies or trusts on all tax aspects of their operations.
